About The Role

Kinetic IT are looking for an Assistant Company Secretary and Paralegal to work across our Commerce and Business function. This is a unique mix of company secretarial duties combined with a paralegal component. Reporting to the Head of Legal, the Assistant Company Secretary & Paralegal provides high quality legal and governance support across Kinetic IT, ensuring compliance with regulatory obligations, assisting with legal documentation and supporting the Company Secretary in delivering effective corporate governance practices and adherence to legal and regulatory requirements, including the Corporations Act.

Responsibilities will include but not limited to:
• Manage legal documents, contracts, correspondence, and repositories
• Conduct contract tiering assessments for new customer agreements
• Coordinate with external legal counsel under direction from in-house legal
• Support legal matter management, research, and preparation of legal advice
• Provide administrative and diary management support to the Legal team
• Assist with compliance programs (whistleblower, modern slavery, anti-bribery, etc.)
• Liaise with regulators and external counsel as required
• Monitor legislative changes and brief stakeholders on impacts
• Prepare and support Executive, Board, and Committee work plans, papers, minutes, and resolutions (via Diligent)
• Coordinate agenda setting and governance-related meetings and events
• Maintain statutory company records and ensure timely ASIC filings
• Collaborate with Strategic Finance and Financial Assurance on performance and reporting

What you’ll bring to the table:
• Demonstrated experience in commercial law firm or comparable experience in board facing administrative role
• Strong written and visual presentational skills and experience in drafting legal papers or Executive/Board meeting minutes
• Highly organised with an excellent attention to detail including project management and critical thinking skills
• Highly professional with demonstrated capability to act with discretion and confidentiality
• Confident, strong communication skills and ability to work with a diverse and extensive range of stakeholders
• Proficient in Diligent Boards
• Proficient in document management systems.
• Highly organised and comfortable speaking at board level
